These Terms & Conditions (“Terms”) govern your access to and use of the portion of the True North Modular website (the “Site”). By accessing or using the Site, you (“you”, “user”, or “Member”) agree to be bound by these Terms. If you do not agree to all these Terms, you must not access or use the Site.
1. Access & Eligibility
1.1 Authorized Users Only. The Site is intended for authorized users only (e.g., employees, contractors, clients, partners). You must have valid credentials (username/password or other access privileges) to enter.
1.2 Account Information & Security. You are responsible for maintaining the confidentiality of your login credentials. You may not share your credentials with others. You must notify True North Modular immediately if you suspect any unauthorized use of your account.
1.3 Suspension or Termination. True North Modular reserves the right to suspend, restrict, or terminate your access (or any user’s access) at any time, with or without cause or notice, in its sole discretion.
2. Use of Content
2.1 License. Subject to your compliance with these Terms, True North Modular grants you a limited, nonexclusive, nontransferable license to access and use the content on the Site for the purposes for which you were granted access (e.g. internal collaboration, project tracking, client updates).

3.1 Privacy Policy. Your use of the Site may involve the collection, use, and disclosure of personal or business information. Such practices are governed by the True North Modular Privacy Policy (which should be linked here).
3.2 Data You Submit. You retain ownership of data, documents, or files you submit (the “User Content”). You grant to True North Modular a nonexclusive, royalty-free right to use, store, copy, reproduce, transmit, display, and back up the User Content as necessary to provide the Site services.
3.3 Confidentiality. You agree that the content, documents, and information made available via the Site are confidential and proprietary. You must not disclose them to third parties except as allowed by True North Modular in writing.
4. Disclaimers & Limitations of Liability
4.1 As-Is Basis. The Site (and all content therein) is provided “as is” and “as available,” without warranties of any kind, whether express or implied (including merchantability, fitness for a particular purpose, or noninfringement).
4.2 No Warranty of Uninterrupted Access. True North Modular does not guarantee continuous, uninterrupted, or error-free operation of the Site. Access may be interrupted for maintenance, security, or other reasons.
4.3 Limitation of Liability. To the fullest extent permitted by law, True North Modular (and its officers, directors, employees, agents, affiliates) will not be liable to you (or any third party) for any indirect, incidental, consequential, punitive, special, or exemplary damages (lost profits, data loss, business interruption, etc.), even if advised of the possibility of such damages.
4.4 Cap on Liability. In jurisdictions that permit such limitations, True North Modular’s total liability to you for direct damages will be limited to the lesser of (a) the fees you have paid (if any) in connection with the Site during the 12 months preceding the event, or (b) [insert a reasonable cap, e.g., CAD $5,000].
5. Termination & Effect

6.1 Changes. True North Modular may revise or update these Terms from time to time. Revised Terms will become effective when posted to the Site (or otherwise communicated).

7. Third-Party Links & Services
7.1 The Site may include links to third-party websites, services, or content. True North Modular does not control such third-party content and is not responsible for it.

8. Indemnification
You agree to indemnify, defend, and hold harmless True North Modular (and its officers, directors, employees, agents) from and against any and all claims, losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising out of or related to (i) your breach of these Terms; (ii) your use of the Site; or (iii) any User Content you submit.
9. Governing Law & Dispute Resolution
9.1 Governing Law. These Terms and your use of the Site are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.
9.2 Dispute Resolution. Any dispute, claim or controversy between you and True North Modular arising out of or relating to these Terms or the Site will be resolved by [choose one: court litigation / arbitration] in [Edmonton, Alberta].
9.3 Severability. If any provision of these Terms is held invalid, illegal or unenforceable, the remaining provisions will remain in full force and effect.
10. Miscellaneous
10.1 Entire Agreement. These Terms (together with any exhibits, schedules, or policies referenced herein) constitute the entire agreement between you and True North Modular regarding the Site, superseding any prior or contemporaneous agreements or communications.
10.2 Assignment. You may not assign your rights or obligations under these Terms without True North Modular’s prior written consent. True North Modular may assign or transfer these Terms without restriction.
10.3 Waiver. No waiver of any provision or right under these Terms will be effective unless in writing executed by the party to be bound.
10.4 Notices. Notices under these Terms may be given by posting on the Site, or via email to the address you provided.
10.5 Force Majeure. Neither party is liable for delays or failures in performance due to causes beyond its reasonable control (e.g. acts of nature, war, terrorism, power outages, internet failures).
